Knowledge

Knowledge. Of the Company or any similar phrase means the actual knowledge, after due inquiry, of the following persons: Douglas M. Fambrough, III, Jack Green, Barbara Fielman, Bob D. Brown, Jennifer Lockridge, David Miller, Bart Wise and James B. Weissman.

Knowledge. In the case of any Person, the actual knowledge without any actual inquiry and in the case of Seller the actual knowledge of its Chief Executive Officer or Chief Financial Officer.

Shall mean actual knowledge a party's manager or any executive officer of such party and shall include any information or documentation which was transmitted, mailed, or delivered to such Person, whether orally or in writing and whether through electronic media, including email and telecopier, or hard copy
