Material Adverse Effect. A material adverse effect upon (i) the financial position or results or operation of Borrower or Guarantor, as applicable, (ii) the ability of Borrower or Guarantor to perform any of its obligations under the Loan Documents, or (iii) the value of the Mortgaged Properties.

Material Adverse Effect.
