Example Definitions of "Nonqualifying Termination"
Nonqualifying Termination. Means a termination of Employee's employment (1) by the Employer for Cause, (2) by Employee for any reason other than Good Reason (including Retirement if Good Reason does not exist at such time), (3) as a result of Employee's death, or (4) as a result of Disability.
Nonqualifying Termination. Means the termination of an Employee's employment (i) by the Company for Cause, (ii) by the Employee for any reason other than Good Reason, (iii) as a result of the Employee's death, (iv) by the Company due to the Employee's absence from his or her duties with the Company on a full-time basis for at least 180 consecutive days as a result of the Employee's incapacity due to physical or mental illness, or (v) in connection with a sale of assets by the Company or one of its affiliates if the...
