Offering

Offering. The Company's proposal to sell Units for $3.00 per Unit, with each Unit consisting of (i) one share of Common Stock of the Company and (ii) a three (3) year Warrant to purchase 15% of one share of Common Stock of the Company with an exercise price of $3.00 per share

Offering. An offer under the Plan of a purchase right that may be exercised during an Offering Period as further described in Section 2(q). For purposes of this Plan, the Committee may designate separate Offerings under the Plan (the terms of which need not be identical) in which Eligible Employees of one or more Designated Subsidiaries will participate, even if the dates of the applicable Offering Periods of each such Offering are identical.

Offering. The grant of Purchase Rights to purchase shares of Common Stock under the Plan to Eligible Employees.

Offering. Means the offering made pursuant to Section 4(2) of the Securities Act and Rule 506 promulgated thereunder of Units of Securities of the Company pursuant to the Purchase Agreement and the Private Placement Memorandum.

Offering. The grant to Eligible Employees of Purchase Rights, with the exercise of those Purchase Rights automatically occurring at the end of one or more Purchase Periods. The terms and conditions of an Offering will generally be set forth in the "Offering Document" approved by the Board for that Offering.

Offering. The meaning ascribed thereto on the cover page of this Agreement

Offering. Means the offering and sale of the Units pursuant to this Agreement and the Memorandum.

Offering. Means any of the offerings to Participants of options to purchase Stock under the Plan, as described in Section 4 below.
