Official Capacity

Official Capacity. Indemnitee's corporate status as an officer and/or director and any other fiduciary capacity in which he serves the Company, its subsidiaries and affiliates, and any other entity which he serves in such capacity at the request of the Company's CEO, its Board of Directors or any committee of its Board of Directors. "Official Capacity" also refers to all actions which Indemnitee takes or does not take while serving in such capacity.

Official Capacity. Means Indemnitee's service as an officer and/or director (including serving as a member of any committee of the board of directors) of the Company and/or, at the request of the Company, any Other Enterprise, and in such capacity shall include service as a trustee, fiduciary, agent or similar status (including, without limitation, a manager of a limited liability company) with respect to the Company and any Other Enterprise.
