Official Capacity

Official Capacity. Shall mean the office of director or officer in the Company and/or an Affiliate, membership on any committee of directors, any other offices in the Company and/or an Affiliate held by an Executive and any other employment or agency relationship between the Executive and the Company and/or an Affiliate. Official Capacity. Means Indemnitee's service as an officer and/or director (including serving as a member of any committee of the board of directors) of the Corporation and any Other Enterprise, and in such capacity shall include service as a trustee, fiduciary, agent or similar status with respect to the Corporation and any Other Enterprise.

Official Capacity. Means (i) serving as a director or officer of the Company or (ii) while serving as a director or officer of the Company, serving at the request of the Company as an officer, director, manager, member, partner, tax matters partner, employee, agent, fiduciary, trustee or other representative of an Other Enterprise.

Official Capacity. Describes the Indemnitee's corporate status as a director or officer and any other fiduciary capacity in which Indemnitee serves the Company, its subsidiaries and affiliates, Enterprise, or any other enterprise or entity which Indemnitee serves in such capacity at the request of the Company

Official Capacity. (i) When used with respect to a Director, the office of director in the Corporation; and (ii) when used with respect to an Officer, the office or offices in the Corporation held by the Officer. "Official Capacity" does not include service for any entity or employee benefit plan.

Official Capacity. The term "Official Capacity" shall mean service as a director or officer of the Corporation or service, at the request of the Corporation while serving in an Official Capacity for the Corporation, as a director, officer, partner, member, manager, trustee, employee, agent or other representative of an Other Enterprise.

Official Capacity. Means any and all past, present or future service by the Indemnitee as a director, officer, employee or agent of the Company or, serving at the request of the Company as a director, officer, employee, fiduciary, trustee, agent or other representative of an Other Enterprise (as defined below).
