Organizational Documents. As to any Person, its certificate or articles of incorporation, by-laws, memorandum and articles of association or other organizational and constitutive documents.

Organizational Documents. With respect to a corporation, the certificate of incorporation or formation, articles of incorporation and bylaws of such corporation; with respect to a limited liability company, the articles of organization, regulations, operating agreement and other documents establishing or governing such entity, with respect to a partnership, joint venture, or trust, the agreement, certificate or instrument establishing or governing such entity; in each case including all modifications and supplements... thereof as of the date of the Related Document referring to such Organizational Document and any and all future modifications thereof which are consented to by the Bank. Organizational Documents. Means, with respect to any corporation, those instruments that at the time constitute its charter as filed or recorded under the Legal Requirements of the jurisdiction of its incorporation, including the articles or certificate of incorporation and its by-laws, in each case including all amendments thereto, as the same may have been restated; with respect to any limited liability company, those instruments that at the time constitute its certificate of organization as filed or recorded under... the Legal Requirements of the jurisdiction of its organization and its limited liability company agreement or operating agreement, in each case, including all amendments thereto, as the same may be restated; and, with respect to any other entity, the equivalent organizational or governing documents of such entity. Organizational Documents. Means that certain (i) Agreement of Limited Partnership of CCTP, dated as of March 30, 2006, between GCP LP and GCP GP, as amended by the First Amendment to Agreement of Limited Partnership of CCTP, dated as of April 1, 2008, and (ii) Limited Liability Company Agreement of the Borrower, dated as of March 27, 2008, entered into by Holdings, in each case together with all amendments, restatements, supplements or other modifications, if any, from time to time as permitted thereunder.

Shall mean, with respect to any Pledged Company, as applicable, its articles of incorporation, charter, bylaws, certificate of limited liability, limited liability company operating agreement, partnership agreement, shareholder agreement, and member agreement, and any similar organizational document.
