Participant

Participant. Any Eligible Employee, Director or Advisor to whom an Award is granted and remains outstanding

Participant. Any Eligible Person who holds an outstanding Award under the Plan

Participant. Shall mean a Non-Employee Director to whom an Award is granted pursuant to the Plan.

Participant. (x) an employee of the Company who is a member of the Company's Executive Management Committee, or (y) an employee of the Company or any subsidiary of the Company who has been specifically designated as eligible to participate in the Plan pursuant to notification in writing from the Administrator, and, in case of each of (x) or (y), who (i) is a member of a select group of management or highly compensated employees and (ii) has timely and properly executed and delivered a Participation... Notwithstanding anything herein to the contrary and for the avoidance of doubt, in the event that Participant ceases to be a member of the Company's Executive Management Committee for any reason other than due to (i) a Termination, or (ii) any change in title that would entitle a Participant to resign with Good Reason hereunder, then such person shall immediately cease to be a Participant under the Plan and shall cease to have any rights under the Plan or the Participation Agreement, unless the Compensation Committee determines otherwise in its sole discretion. Participant. A Qualified Participant, or a Non-Qualified Participant.

Participant. With respect to each Performance Period, each employee or other service provider of the Company selected by the Committee to participate in this Plan for such period.

Participant. Shall mean each Tier I Executive and Tier II Executive

Participant. Each Tier I Employee, Tier II Employee, and Tier III Employee

Participant. A key employee of Reflect on the Effective Date who (i) is designated to receive an Award as set forth on the schedule attached hereto as Exhibit B, (ii) continuously satisfies the participation requirements of Section 3, (iii) has timely executed an Award Agreement that was provided to him or her by the Company and (iv) has timely executed the Waiver and Release.

Participant.
