Example Definitions of "Participant"
Participant. “Participant” shall mean an employee of the Company or an employee of any directly or indirectly affiliated subsidiary or parent corporation of the Company that adopts the 401(k) Plan who is found by the Company in its sole and absolute discretion to meet one of the following requirements: (i) be employed by the Company at a director level or above (ii) be employed by a subsidiary or parent corporation at a Vice President level or above... (iii) be employed by a subsidiary or parent corporation below the Vice President level if strong evidence exists that the employee is included in the subsidiary’s senior management team. 2 Notwithstanding the above, a Participant must also be: (A) nonunion, (B) exempt and (C) have compensation at a level that is reasonably anticipated to exceed the threshold amount to be determined a highly compensated employee under Code Section 414(q). Participant. With respect to any Performance Year, any Eligible Employee who is selected to participate in the Plan in accordance with Section 3 of the Plan
