Proceeding. Any (a) insolvency, bankruptcy, receivership, liquidation, reorganization, readjustment, composition or other similar proceeding against Borrower or its property, (b) proceeding for any liquidation, dissolution or other winding-up of Borrower, voluntary or involuntary, (c) assignment for the benefit of creditors of Borrower or (d) marshaling of the assets of Borrower

Proceeding. Or "Proceedings" - any actions, suits, claims, hearings, arbitrations, mediations, Proceedings (public or private) or governmental investigations that have been brought by any Governmental Authority or any other Person.
