Proceeding

Proceeding. Any threatened, pending or completed action, suit, arbitration, regulatory and self-regulatory action, mediation, alternate dispute resolution mechanism, inquiry, investigation, administrative hearing or other proceeding, whether civil, criminal, administrative, arbitrative or investigative, whether formal or informal, including a proceeding initiated by the Indemnitee pursuant to this Agreement to enforce the Indemnitee's rights hereunder.

Proceeding. For the purposes of this Agreement, "Proceeding" means any threatened, pending, or completed action, suit, arbitration, alternative dispute resolution mechanism, claim, investigation, inquiry, administrative hearing, or any other actual or threatened or other proceeding, whether civil, criminal, administrative, investigative or any other type whatsoever; provided, however, that Proceedings shall not include an action by or in the right of the Company or any Subsidiary of the Company.

Proceeding. Means any audit, examination or other proceeding brought by a Taxing Authority with respect to Taxes.

Proceeding. Proceeding. Any threatened, pending or completed action, suit or proceeding, claim, counterclaim, arbitration, mediation, alternate dispute resolution mechanism, investigation (formal or informal), inquiry and administrative hearing, whether brought by or in the right of the Corporation or otherwise and whether of a civil, criminal, administrative or investigative nature, and any appeal therefrom.

Proceeding. Means any threatened, pending, or completed action, suit, arbitration or proceeding, or any inquiry, hearing or investigation, whether civil, criminal, administrative, investigative or other, including appeal, in which Indemnitee may be or may have been involved as a party or otherwise by reason of an Indemnifiable Event.
