Recapitalization

Recapitalization. Means the reclassification of each share of Sprint's Common Stock, par value $2.50 per share, into one share of FON Stock and a certain number of shares of Series 1 PCS Stock as contemplated by the Restructuring Agreement.

Recapitalization. Means any reorganization, merger or other subdivision, consolidation, recapitalization, reclassification, stock split, combination of shares, issuance of warrants, stock dividend or similar event with respect to or affecting the common stock of the Company, par value one cent ($.01) per share.

Recapitalization. Shall mean a transaction or a series of related transactions pursuant to which Holdings receives additional debt and/or equity financing and all or a portion of such financing is used to make distributions of more than $100 million to or on account of the holders of the equity securities of Holdings (other than, in any case, a transaction to finance a distribution to repurchase shares of the Holdings' Capital Stock from a former employee or consultant of the Company (or Subsidiary of the... Recapitalization. Is defined in the Recitals to this Agreement.

Recapitalization. Means any recapitalization, redemption or refinancing by the Company or Milnot Company pursuant to which holders of the Company's equity securities receive a cash dividend, cash or publicly traded securities in cash in exchange for such equity securities.

Recapitalization. Shall mean any stock split, stock dividend, recapitalization, combination of shares, merger, consolidation, exchange of shares or other change affecting the Company's outstanding Common Stock as a class.

Recapitalization. Means, collectively, the transactions relating to the issuance and sale of Voting Securities and Voting Security Equivalents described in Exhibit A to the Equity Purchase and Rights Offering Agreement.

Recapitalization. Means the occurrence of a recapitalization by the Company, reclassification of Stock by the Company or other change in the Company's capital structure, in each case, without the occurrence of a Change in Control.
