Example Definitions of "Redemption Price"
Redemption Price. Shall have the meaning set forth in Paragraph 6(b).
Redemption Price. An amount equal to the sum of (x) the Equity Value multiplied by the Percentage Interest represented by the Aggregate Warrant Common Shares and (y) the Fair Market Value of the Aggregate Warrant Series C Shares
Redemption Price. An amount per share of Preferred Stock equal to: (a) in the event of a mandatory redemption pursuant to Section 5(a), the then-current Liquidation Amount of a single share of Preferred Stock as of the date of redemption; (b) in the event of an optional redemption pursuant to Section 5(b), an amount (the "Optional Redemption Price") equal to (i) 102% of the Liquidation Amount of a single share of Preferred Stock on the date of redemption, if such optional redemption occurs on or after the date... that is forty-two (42) months following the Original Issue Date and prior to the date that is fifty-four (54) months following the Original Issue Date, (ii) 101% of the Liquidation Amount of a single share of Preferred Stock on the date of redemption, if such optional redemption occurs on or after the date that is fifty-four (54) months following the Original Issue Date and prior to the date that is sixty-six (66) months following the Original Issue Date, or (iii) the Liquidation Amount of a single share of Preferred Stock on the date of redemption, if such optional redemption occurs on or after the date that is sixty-six (66) months following the Original Issue Date; or in the event of a redemption prior to a Change of Control pursuant to Section 5(c) or following a Change of Control pursuant to Section 5(d), (i) if the redemption occurs before the date that is forty-two (42) months following the Original Issue Date, an amount equal to the product of 1.02 multiplied by the sum of (A) the Liquidation Amount of a single share of Preferred Stock on the date of redemption, plus (B) the amount of all Cash Accruing Dividends and/or Liquidation Accruing Dividends that would have accrued following such date of redemption until the date that is forty-two (42) months following the Original Issue Date, minus the product of such amount multiplied by the sum of then-applicable U.S. Treasury Rate as reported by the Wall Street Journal plus 0.005; or (ii) if the redemption occurs on or after the date that is forty-two (42) months following the Original Issue Date, the applicable Optional Redemption Price. Redemption Price. Means the amount equal to the Minimum Proceeds Amount less the Conversion Shares Proceeds Amount divided by the number of both shares of Series E Preferred Stock and unsold Conversion Shares following the Redemption Trigger Period, not less than the Minimum Redemption Price.
Redemption Price. Means, with respect to each of the Redeemable Shares, a price of (x) One Thousand Four Hundred Fifty Dollars and No Cents ($1,450.00) per share, for an aggregate amount of Fourteen Million Five Hundred Thousand Dollars and No Cents ($14,500,000), plus (y) the amount equal to all accrued but unpaid dividends on such Redeemable Share through and including the Redemption Date.
Redemption Price. An amount equal to the price at which each Ordinary Share (or after the Conversion, each share of Common Stock) is redeemed or converted pursuant to the Closing Redemption
