Example Definitions of "Release"
Release. An agreement executed by you in a form mutually agreeable between you and the Company that contains: (i) an acknowledgement by the Company that it does not know (upon reasonable diligence) of any claims against you and (ii) a general release and waiver by you of any and all claims against the Company; provided that the Release shall specifically exclude: (a) any right to the benefits, including, without limitation, any severance benefits, to which you are entitled under this Agreement, (b) any... claim relating to directors' and officers' liability insurance coverage or any right of indemnification under the Company's or its affiliates' organizational documents, applicable law or otherwise, (c) any rights you may have as a member or holder of equity or other securities of the Company or its affiliates, and (d) any rights or entitlements under any applicable sale or transaction agreement. Release. An original document identical to Exhibit A attached hereto, except that Executive shall have filled in the blank in paragraph 2 by inserting the Date of Termination and Executive shall have signed such original.
