Representative

Representative. With respect to either Party, any and all directors, officers, employees, consultants, financial advisors, counsel, accountants and other agents of such Party.

Representative. Shall mean (i) a person's Affiliates and controlled Associates and (ii) its and their respective directors, officers, employees, partners, members, managers, consultants or other advisors, agents and other representatives, in each case, only to the extent such persons are acting in a capacity on behalf of, or at the direction of such person or its Affiliates; provided, that when used with respect to the Company, "Representatives" shall not include any non-executive employees;

Representative. In the event of the Participant's Disability, his duly authorized legal guardian or representative; or, in the event of the Participant's death, his estate, personal representative, or beneficiary as designated pursuant to Section 6(e).

Representative. Shall mean, with respect to a party hereto, all affiliates, directors, officers, employees, agents, financing sources, advisors (including lawyers, accountants and financial advisors) of such party.

Representative. Shall mean Capital Growth Financial, LLC, and _________, the representatives of the several Underwriters.

Means initially Antares Capital Corporation or any successor agent, trustee or representative (if any) under the Credit Agreement for so long as the Credit Agreement shall remain outstanding and thereafter any trustee, agent or representative (if any) with respect to any issue of Senior Debt.

Means, with respect to the deceased Restricted Shareholder, the duly appointed, qualified and acting personal representative (or personal representatives collectively) of the estate of the deceased Restricted Shareholder (or portion of such estate that includes Restricted Shareholder Stock), whether such personal representative holds the position of executor, administrator or other similar position qualified to act on behalf of such estate.

Representative. Means any director, trustee, general partner, managing member, officer, employee, agent or fiduciary of the Company or any director, trustee, general partner, managing member, officer, employee, agent or fiduciary of any other Enterprise serving in such capacity at the request of the Company.
