Required Holders

Required Holders. Means the holders of the SPA Warrants representing at least a majority of the shares of Common Stock underlying the SPA Warrants then outstanding.

Required Holders. Means the holders of at least a majority of the Registrable Securities.

Required Holders. Means holders of a majority of the Registrable Securities as of such time (excluding any Registrable Securities held by the Company or any of its Subsidiaries as of such time) issued or issuable hereunder or pursuant to the May Warrants; provided, that such majority must include Hudson Bay Master Fund Ltd as long as Hudson Bay Master Fund Ltd or any of its Affiliates holds any May Warrants.

Required Holders. Shall have the meaning as set forth in the Securities Purchase Agreement.

Required Holders. Means the holders of Notes representing at least a majority of the aggregate principal amount of the Notes then outstanding.

Required Holders. Shall mean the holders of the then unexercised Warrants issued pursuant to the Subscription Agreement, which represent a majority of the Warrant Shares underlying such unexercised warrants.

Required Holders. Shall mean any registered holder or holders holding more than 50% of the outstanding Authorized Warrants (including the Warrants) and Authorized Warrant Shares. -17-

Required Holders. Means the holders of the SPA Warrants representing at least a majority of shares of Common Stock issuable upon exercise of the SPA Warrants then outstanding (without regard to any limitations on exercise thereof); provided, that any SPA Warrant that is held by an Affiliate of the Company shall not be deemed to be outstanding for purposes of the determination of "Required Holders."

Required Holders. Means Holders who collectively represent at least a majority in aggregate principal amount of Subject Notes held by all Holders executing this Agreement.

Required Holders. As of any date, the holders of at least a majority of the Warrants outstanding as of such date.
