Senior Note

Senior Note. Means the collective reference to any one or more debentures, notes or other evidence of indebtedness issued by the Borrower or any Subsidiary to a Senior Lender that is in effect during any time this Note shall be outstanding, together with any amendment, restatement, refinancing or replacement thereof from time to time, including, but not limited to, any other credit or financing agreement made by the Borrower or any Subsidiary in favor of another Senior Lender.

Senior Note. Means that certain Secured Convertible Term Note issued pursuant to the Securities Purchase Agreement by BIO-key in the principal aggregate amount of $5,000,000 payable to the First Lien Secured Party.

Senior Note. Shall mean the Promissory Note described in the Recitals to this Agreement, and all schedules, riders, allonges and addenda, as such Promissory Note may be amended from time to time with the consent of Senior Lender.

Senior Note. That certain Amended and Restated Note dated March 14, 2008 executed by Borrower in favor of KeyBank National Association, as originally executed, or if varied, extended, supplemented, consolidated, amended, replaced, renewed, modified, or restated from time to time as so varied, extended, supplemented, consolidated, amended, replaced, renewed, modified or restated.

Senior Note. The Senior Note (or collectively, the "Senior Notes") in the form attached as Exhibit A hereto, as amended, restated, supplemented or modified from time to time, and each Senior Note delivered in substitution or exchange for such Senior Note.
