Severance Payment

Severance Payment. 1.5 times the sum of (i) Executive's then applicable Base Salary, plus (ii) the average of the annual cash incentive plan payments made to Executive (prior to reduction for taxes or deferrals) in the three fiscal years immediately preceding the fiscal year in which the Termination Date occurs (or such fewer number of immediately preceding fiscal years for which Executive has been employed by the Company) (the "Average Annual Bonus Amount"); provided that if the Termination Date occurs on or... within the one year period following a Change in Control, then the 1.5 multiplier shall be replaced with two (2). Severance Payment. The base salary continuation contemplated by this paragraph is hereinafter referred to as the "Severance Payment".

Severance Payment. Means, as applicable, the Initial Severance Payment or the Special Severance Payment.

Severance Payment. A payment made pursuant to Article 6 of the Plan.

Severance Payment. The applicable lump sum cash payment payable to the Executive pursuant to Section 5.1(a)(iv), Section 5.2(a)(iii), or Section 5.3(a)(iii) through (v), as applicable.

Severance Payment. Any severance pay or benefits under any other severance program or plan of the Company or any affiliate, including the Company's Executive Severance Plan, payable to Executive at the same time as amounts payable under this Agreement
