Shares

Shares. Means the 750,000 shares of Common Stock to be ------ acquired by SaSy.

Shares. Refers to the purchased Shares and all shares received in respect thereof as a consequence of stock dividends, stock splits, reverse stock splits, recapitalizations, mergers, reorganizations or the like, and all new, substituted or additional securities or other properties to which Purchaser is or may be entitled by reason of Purchaser's ownership of the Shares.

Shares. Means shares of Common Stock of the Company, which may be, in whole or in part, authorized and unissued shares or treasury shares.

Shares. Means the shares of Common Stock issued pursuant to the Subscription Agreement and the Memorandum.

Shares. Shall mean: (i) the 100,000 shares of Common Stock outstanding on the date hereof issued to the Holder pursuant to Section 4.c of the Employment Agreement, effective October 1,2004 between the Holder and the Company (the "Employment Agreement"), to the extent such shares have then vested and (ii) the 20,000 shares of Common Stock outstanding on the date hereof issued to the Holder pursuant to the Section 4.c.6 of the Employment Agreement].

Shares. Shall mean: (i) the shares of Series A Convertible Stock of the Company outstanding on the date hereof; and (ii) any such shares issued after the date hereof to the Holders.

Shares. Means the number of units assigned to a Participant for the purpose of determining the portion of the Executive Bonus Pool payable pursuant to this Plan to such Participant for a fiscal year.

Shares. Shall mean shares of the Company's Series D Preferred Stock.

Shares. Is defined in the recitals hereto.

Shares. Shall mean (i) the shares of Preferred Stock and (ii) only with respect to the provisions of Article V, the shares of Preferred Stock and any Voting Shares held by the Founders.
