SoW

SoW. A written document, signed by the parties, that describes services to be performed by Aircell under this Agreement and contains other terms and conditions agreed by the parties with respect to the services described therein.

SoW. Means a statement of work entered into between the parties on an as-needed basis to describe an Additional Service to be performed hereunder. Any SOW shall be agreed to by each party, shall be in writing and (i) shall contain: (a) a description of the Services to be performed thereunder; (b) the applicable performance standard for the provision of such service, if different from the Performance Standard; and (c) the amount, schedule and method of compensation for provision of such service,... which shall estimate the Fully Allocated Cost of such service; and (ii) may contain the (x) receiving party's standard operating procedures for receipt of services similar to such Service, including operations, compliance requirements and related training schedules; (y) information technology support requirements of the receiving party with respect to such Service; and (z) training and support commitments with respect to the party providing such Service. For the avoidance of doubt, the terms and conditions of this Agreement shall apply to any SOW except to the extent of a conflict between a provision of this Agreement and the SOW, in which case, the terms of the SOW shall control. SoW. A statement of work entered into between the parties on an as-needed basis to describe a particular service that is not covered specifically in a schedule hereto, but has been agreed to be provided pursuant to the terms of this Agreement except as otherwise set forth in such SOW.

SoW. Shall mean a written agreement executed by and between the Parties that contemplates a mutually beneficial business relationship and transaction that is within the scope of the Agreement.

SoW. Means a written, fully signed, statement of work referencing this Agreement, for the performance of Services by SR under this Agreement (as the same may be amended by the Parties pursuant to a Change Order or other written agreements, in which case references to SOW means such SOW as so amended).

SoW. Means that certain Statement of Work #1, by and between Holder and EWC Ventures, dated as of December 27, 2024.

SoW. Means a statement of work under this Agreement.

SoW. A services order referring expressly to this Agreement, signed by authorized representatives of both parties and describing Services to be performed and any associated additional terms and conditions.

SoW. The statement of work for each Product set forth in any Schedule I as amended in writing from time to time upon mutual agreement of the Parties.

SoW. The Statement of Work containing the tasks, deliverables, target delivery dates and payments set forth in Exhibit A attached hereto, as such SOW may be modified pursuant to Section 2.1.3 below
