Specified Employee

Specified Employee. Shall have the meanings attributed to such terms under section 409A of the Code and the treasury regulations and other guidance promulgated thereunder

Specified Employee. Specified Employee means certain officers and highly compensated employees of Company as defined in Treas. Reg. § 1.409A-1(i). The identification date for determining whether Employee is a Specified Employee during any calendar year shall be the September 1 preceding the commencement of such year.

Specified Employee. Is, if any stock of the Company or any Affiliate is publicly traded on an established securities market or otherwise on the Participant's Separation from Service, a Participant who is a key employee as described in Code §416(i)(1)(A), disregarding paragraph (5) thereof. Specified Employee. At any time when stock of the Corporation is publicly traded on an established securities market or otherwise (as determined in accordance with Section 409A), an employee who is a "specified employee" within the meaning of Section 409A. Specified Employee.
