Specified Employee

Specified Employee. Shall have the meaning set forth in Section 409A as determined on the date of Termination of Employment in accordance with procedures established by the Company and consistent with Section 409A.

Specified Employee. Has the meaning given to that term in Code Section 409A and Treasury Regulation §1.409A-1(i) (or any similar or successor provisions).

Specified Employee. An Eligible Director who is a "specified employee" with respect to the Company within the meaning of Section 409A of the Code.

Specified Employee. Shall have the meaning given such term in Code Section 409A and the final regulations thereunder.

Specified Employee. A key employee (as defined in Section 416(i) of the Code, without regard to paragraph 5 thereof) of the Bank or any of its Affiliates at a time when the stock of the Bank or any of its Affiliates is publicly traded. For purposes of determining whether a Participant is a Specified Employee, the identification date shall be December 31. The determination of whether a Participant is a Specified Employee shall be made by the Board of Directors in accordance with Section 409A of the Code

Specified Employee.
