Stock Appreciation Right

Stock Appreciation Right. A right that permits the individual to receive a payment equal to the excess of the stock's value at exercise over the Exercise Price.

Stock Appreciation Right. A right awarded to a Grantee to receive a cash payment equal to the appreciation (if any) in the Fair Market Value of a Share from the date of grant until the Stock Appreciation Right is exercised. At the discretion of the Committee, payment may be made by delivering an amount of Shares that have a Fair Market Value equal to the cash otherwise payable to the Grantee, or a combination of cash and Shares

Stock Appreciation Right. A right to receive any excess in the Market Value of a share of Stock (except as otherwise provided in Section 7.2(c)) over a specified exercise price.

Stock Appreciation Right. A right to receive an amount equal to any appreciation or increase in the Fair Market Value of Common Stock over a specified period of time granted pursuant to Section 7(d) of the Plan.

Stock Appreciation Right. Shall mean a right to receive from the Company, with respect to each Share as to which the SAR is exercised, payment in an amount equal to the excess of the Share's Fair Market Value on the exercise date over its Fair Market Value on the date the SAR was granted. Such payment will be made solely in Shares valued at Fair Market Value on the exercise date.

Stock Appreciation Right. The right to receive appreciation in the Common Stock pursuant to the provisions of Section 7(c) of the Plan.

Stock Appreciation Right. The right, granted pursuant to Section 10, to receive a payment, equal to the excess of the Fair Market Value of a specified number of Shares on the date the Stock Appreciation Right is exercised, over the grant price of the Shares.

Stock Appreciation Right. A right granted pursuant to, and in accordance with the terms of, the Trex Company, Inc. 2005 Stock Incentive Plan to receive, upon exercise thereof, the excess of (x) the Fair Market Value of one share of Common Stock on the date of exercise over (y) the grant price of the SAR, determined pursuant to Section 6 hereof

Stock Appreciation Right. The right of a Participant to receive Stock or cash upon exercise of the Award as described in Part III

Stock Appreciation Right. Means any of the various types of rights which may be granted under Section 8 of the Plan.
