Stock Units

Stock Units. The deferred portion of Director's Fees, which is converted into a unit denominated in shares of the Corporation's common stock.

Stock Units. Equal in number to the number of shares of Common Stock whose delivery is so deferred. A "Stock Unit" is a bookkeeping entry representing an amount equivalent to the Fair Market Value of one share of Common Stock. Stock Units represent an unfunded and unsecured obligation of the Corporation except as otherwise provided by the Board. Stock Units. Means Unisys common stock-equivalent units, which may be awarded pursuant to the Plan as Elective or Non-elective Stock Units or may be credited to a Director's Account as a result of the Director's exercise of an Option for Stock Units. Stock Units also include Frozen Stock Units held under the Directors Deferred Compensation Plan and transferred to this Plan effective July 25, 1996.

Stock Units. Mean non-voting units of measurement, credited to a Non-Employee Director's Stock Unit Account pursuant to Section 6. Each Stock Unit is deemed to represent one share of Common Stock solely for purposes of this Plan.

Stock Units. Deferred Stock Units, Performance Accelerated Restricted Stock Units and Restricted Stock Units.

Stock Units. Means the right to receive the value of one share of Stock in accordance with the terms of this Agreement. The Stock Units shall be issued pursuant to the Equity Plan, and constitute "phantom stock units" as defined in the Equity Plan. The terms of the Equity Plan are incorporated herein, provided that in the event of any conflict between the terms of the Equity Plan and this Agreement, the terms of this Agreement shall control to the maximum extent permitted by applicable law.

Stock Units. Means the right to receive the value of one share of Stock in accordance with the terms of this Agreement.

Stock Units. A unit evidencing the right to receive in specified circumstances a share of Common Stock or portion or multiple thereof which may be restricted or subject to forfeiture provisions

Stock Units. Stock unit awards granted under the Company's 2000 Stock Award and Incentive Plan, 2000 Supplemental Stock Award Plan, 2010 Stock Award and Incentive Plan or other Company plans.
