Sublicense

Sublicense. Any sublicense granted (a) by CERES to an any third party, including any AFFILIATED COMPANY or (b) by CERES or an AFFILIATED COMPANY to any third party ("SUBLICENSEE"), as authorized by this Agreement, to produce and sell a LICENSED VARIETY (or LICENSED VARIETIES)

Sublicense. Any right granted, license given, or agreement entered into, by Teva and/or its Affiliates and/or Sublicensees to or with any other person or entity (whether or not such grant of rights, license given or agreement entered into is described as a sublicense or otherwise), permitting any use of the Licensed Information Cell Cure IP (or any part thereof) or any right to research, develop, make, have made, register, import, manufacture, use, sell, offer for sale, produce, sublicense, commercialize... and/or distribute the Licensed Product for any indication; and indication in the Field. Sublicense. (i) any right granted, license given or agreement entered into formally or de facto by and between COMPANY and or AFFILIATES to or with another person or entity, pursuant under or with respect to the rights granted to COMPANY and AFFILIATES under Section 2.1 of this Agreement for or otherwise permitting the development, manufacture, marketing, distribution, use and/or sale of UCENSED LICENSED PRODUCTS or and/or LICENSED PROCESSES; (ii) any option or other right granted by COMPANY to any other... person or entity to negotiate for or receive any of the rights described under clause (i); or (iii) any covenant standstill or similar obligation undertaken by COMPANY or AFFILIATES toward another person or entity ENTITY not to grant any of the rights described in clause (i) or (ii) to any third party, in each case regardless of whether such grant of rights, license given or agreement entered into is referred to or is described as a sublicense.
