Sublicense

Sublicense. Based upon the representations, warranties, and covenants and subject to the terms, provisions, and conditions contained in this Agreement, at the Closing (as defined below), Accurexa hereby sublicenses the UCSF License to CNM subject to the conditions set forth herein, and CNM agrees to sublicense the UCSF License from Accurexa for the consideration hereinafter set forth.

Sublicense. An agreement in which Company (i) grants or otherwise transfers to any Sublicensee any of the rights licensed to Company hereunder, (ii) agrees not to assert such rights or to sue, prevent or seek a legal remedy for the performance or practice of same, or (iii) is under an obligation to grant, assign or otherwise transfer any such rights or non-assertion, or to forebear from granting or otherwise transferring such rights to any other entity. Agreements expressly considered Sublicenses include... licenses, option agreements, "lock up" agreements, rights of first refusal agreements or similar agreements. However, (a) an assignment pursuant to Section 14.3, (b) an agreement consummating a Change of Control of Company, or (c) an agreement to manufacture, make, have manufactured, or have made, use or sell Licensed Products on behalf of Company or its Affiliates shall not be considered a Sublicense. Sublicense. Any agreement entered into by Company or another Licensed Entity with any third party pursuant to which: (i) any sublicense to the Licensed Patents or Technical Information is granted, including any sublicense rights to make, offer for sale, use, sell, or import Licensed Products; or (ii) Company covenants not to sue for the practice or use of any part of the Licensed Patents or Technical Information.

Sublicense. Any license granted by Licensee to a Third Party on all or part of the Technology, including but not limited to, manufacturing use or exploitation rights on the Products and within the scope of the License

Sublicense. Means any agreement between Bolt and a third party that contains a grant to Stanford's Licensed Patents regardless of the name given to the agreement by the parties; however, an agreement to make, have made, use or sell Licensed Products on behalf of Bolt is not considered a Sublicense.

Sublicense. Means any right granted, license given or agreement entered into by Licensee to or with any other person or entity, under or with respect to or permitting any use or exploitation of any of the Patent Rights or otherwise permitting the development, manufacture, marketing, distribution, use and/or sale of Licensed Products.
