Trade Secrets

Trade Secrets. Shall include, except as otherwise provided by applicable law, any information of the disclosing party or its Affiliates, without regard to form, including, but not limited to, technical or non-technical data, formulae, patterns, compilations, programs, devices, methods, techniques, drawings, processes, financial data, financial plans, product plans, or lists of actual or potential customers or suppliers which is generally not known by or available to the public and which information: (i)... derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use and (ii) is the subject of efforts by the disclosing party that are reasonable under the circumstances to maintain its secrecy. Trade Secrets. Means the trade secrets and other Proprietary Information (as defined above) that the Company Group has made reasonable efforts to keep confidential and that derive independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use.

Trade Secrets. Proprietary knowledge of Licensor related to the Licensed Products and the methods, compositions, and methods of manufacturing compositions described in the Licensed Patents, the Licensed Products, and the Field of Use.

Trade Secrets. Means information (encompassed in any form or medium, including written, electronic, or verbal information) that qualifies as a "trade secret" under applicable federal or state trade secret laws, including, but not limited to, the DTSA and that is not generally known to the public or to other persons who can obtain economic value from its disclosure or use.
