Transaction Documents. This Agreement, the Notes, the Warrants and each other agreement, document and instrument executed in connection with the transactions contemplated hereby

Transaction Documents. This Agreement, the intellectual property security agreement, the warrant and the other agreements, documents and instruments entered into in connection with this Agreement

Transaction Documents. Means this Agreement and that certain Note Purchase Agreement made and dated as of November 6, 2018 by and among INN SA LLC, as collateral agent, the Purchasers listed on Schedule 1.1. thereto, and the Company (the "Note Purchase Agreement").

Transaction Documents. Has the same meaning as in the Purchase Agreement.

Transaction Documents. Collectively, this Agreement, the Registration Rights Agreement, the Convertible Debentures, the Lock-Up Agreement(s), and each of the other agreements and instruments entered into by the Company or delivered by the Company in connection with the transactions contemplated hereby and thereby, as may be amended from time to time.

Transaction Documents. Means this Agreement (and each of the exhibits and schedules attached hereto and incorporated by reference herein), the Non-Competition and Non-Solicitation Agreements, the Employment agreement, the General Waiver and Releases and each of the other documents, agreements and certificates delivered in connection with this Agreement.

Transaction Documents. Means this Agreement and the Subordinated Note.

Transaction Documents. This Agreement, the Securities Purchase Agreement, the Debentures, the Warrants, the Subsidiary Guarantee, the Insider Lock-Up Agreements, the Purchaser Lock-Up Agreement, the Subordination Agreements, the Upexi Subordination Agreement, and all exhibits and schedules thereto and hereto and any other documents or agreements executed in connection with the transactions contemplated hereunder.

Transaction Documents. This Agreement, the Securities Purchase Agreement between the Purchaser and the Issuer dated September 28, 2022, the Contribution Agreement between the Issuer and the signatories thereto dated September 28, 2022, and the Letter of Intent between the Purchaser and the Issuer dated September 1, 2022

Transaction Documents. Shall mean, collectively, this Agreement and any and all agreements, exhibits, schedules, certificates, instruments and other documents contemplated hereby or executed and delivered in connection herewith.
