Example Definitions of "Underwritten Offering"
Underwritten Offering. An offering of Common Stock (or units consisting of Common Stock and warrants to purchase Common Stock) that will result in the immediate listing for trading of the Common Stock on a National Exchange, which is intended to be underwritten by the Underwriter and/or its affiliates.
Underwritten Offering. Means a public offering of securities Registered under the Securities Act in which an Underwriter participates in the distribution of such securities, including on a firm commitment basis for reoffer and resale to the public, including any such offering that is a "bought deal" or a block trade.
Underwritten Offering. An offering of shares of Common Stock under a registration statement in which the shares are sold to an underwriter for reoffering to the public.
Underwritten Offering. An offering of Registrable Securities under a Registration Statement in which the Registrable Securities are sold to an underwriter for reoffering to the public, which Underwritten Offering shall be, at the election of the Holder(s) requesting such Underwritten Offering, either an Underwritten Offering for Common Stock or Senior Secured PIK Notes
