Value. The fair market value of the Company as shall be agreed upon by Walker and Loeb or, if Walker and Loeb shall fail to agree as shall be determined by an appraiser mutually acceptable to Walker and Loeb or, if Walker and Loeb are unable to agree on an appraiser, by General Atlantic Partners.
