Example Definitions of "Value"
Value. Shall mean (a) in the case of a Sale Transaction in which the stockholders of the Corporation receive cash as consideration, the aggregate dollar amount paid to such stockholders in such Sale Transaction or (b) in all other cases, the fair market value of the Corporation as shall be determined in good faith by the Board of Directors.
Value. Of a share of Common Stock as of any given date means the closing price of a share of Common Stock reported on the New York Stock Exchange for such day, or, if shares of Common Stock were not traded on the New York Stock Exchange on such date, then on the next preceding date on which such shares were traded.
Value. Means the value of an Option for one share of Common Stock determined pursuant to the application of the valuation methodology and assumptions utilized by the Company in valuing Company stock options for the purposes of preparing the Company's most recently publicly filed audited annual financial statements prior to the Issue Date.

Value.
