Without Cause

Without Cause. Means any termination of Employee's employment by Flow or its successor that is not (a) termination for Cause, or (b) termination due to Employee's Disability or death.

Without Cause. Unless the Company terminates it for any of the following reasons: (i) Executive fails to render Executive's material duties for the Company to the reasonable satisfaction of the Company (other than as a result of physical or metal impairment or other disability); (ii) Executive fails to follow a reasonable, lawful directive of the Company, and does not remedy such failure within 10 days after receipt of written notice from the Company of such failure, (iii) Executive materially violates the... policies or procedures of the Company as such policies and procedures are adopted or modified from time to time; (iv) Executive engages in misconduct in connection with the performance of Executive's duties for the Company including but not limited to a material act of fraud, embezzlement, misappropriation, willful misconduct or breach of fiduciary duty against the Company; (v) Executive pleads guilty to or is convicted of any felony; (vi) Executive's unlawful use (including being under the influence) or possession of illegal drugs on the Company's premises or while performing Executive's duties and responsibilities for the Company; or (vii) Executive dies or is unable to perform, with or without reasonable accommodation, the essential functions of his position for a total of three months during any six month period as a result of incapacity due to mental or physical illness. Without Cause. The meaning given to such term in the Farha Employment Agreement.

Without Cause. Shall mean any termination other than one that is With Cause.

Without Cause. A termination of the Participant's employment with the Premier Group by a member of the Premier Group for a reason other than death, Disability or for Just Cause
