Affiliate

Affiliate. (i) in the case of an entity (including Great Point), any Person who or which, directly or indirectly, through one or more intermediaries, controls or is controlled by, or is under common control with, any specified Person, (ii) in the case of an individual, such individual's spouse, children, grandchildren or parents or a trust primarily for the benefit of any of the foregoing, or (iii) in the case of Great Point only, any of its managers, partners, employees or advisors.

Affiliate. Shall mean any corporation, company, or other legal entity in which a party to this Agreement owns or controls, directly or indirectly, more than fifty (50%) of the shares entitled to vote for the election of directors or other persons performing similar functions, only for so long as such ownership or control exists.

Affiliate. A company which from time to time is a subsidiary of the party concerned or which is a holding company of such party or a direct or indirect subsidiary of such holding company

Affiliate. Each corporation, partnership, LLC or other entity that controls the Company, is controlled by the Company, or is under common control with the Company (in each case, "control" meaning the direct or indirect ownership of 50% or more of all outstanding equity interests)

Affiliate. Sonabank or any other corporation or other business entity that is a parent or subsidiary of the Company, including ownership of 50% or more of the voting or profits interests of the corporation or other business entity.

Affiliate. Any individual or entity directly or indirectly controlling, controlled by or under common control with, a party to this Agreement and in the case of Panacela, includes OOO Panacela Labs, a limited liability company formed under the laws of the Russian Federation. Affiliate. Affiliate. Of a specified Person means a Person that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, the Person specified. For the avoidance of doubt, the Canadian Pension Plan Investment Board shall be considered an Affiliate of the Stockholder for all purposes of this Agreement.
