Agreement. Means the agreement, whether in written or electronic form, between the Company or an Affiliate and a Participant containing the terms and conditions of an Award (not inconsistent with this Plan), together with all amendments to such agreement, which amendments may be unilaterally made by the Company unless such amendments are deemed by the Committee to be materially adverse to the Participant or are not required as a matter of law. Agreement. And "this Agreement" shall mean this Joint Venture Agreement, including all Exhibits hereto and, except where the context otherwise clearly requires, all certificates, documents and instruments executed and/or delivered at or prior to Closing.
