Agreement

Agreement. The term this "Agreement" shall mean this Employment Agreement, as it may be amended in writing from time-to-time.

Shall be subject to the satisfaction (or waiver) of the following conditions precedent: (a) The Paying Agent (or its counsel) shall have received from each of Parent, the Borrower and the Required Lenders under (and as defined in) the Existing Credit Agreement either a counterpart of this Agreement signed on behalf of such party or written evidence satisfactory to the Paying Agent (which may include facsimile or other electronic transmission of a signed signature page of this Agreement).

Agreement. Words used in this Agreement with initial capital letters shall have the meanings assigned to them in the Plan.

The terms in this Agreement with initial letters capitalized shall have the meaning set forth in this Agreement and if not defined in this Agreement shall have the meaning set forth in the PDE10 Agreement, and if not defined in this Agreement or the PDE10 Agreement shall have the meaning set forth in the March 2006 Agreement.

Agreement. All terms used in this Agreement, but not defined herein, shall have the meaning given such terms in the Credit Agreement.
