Award. An Option, Stock Award, or a SAR

Award. Any Option, Stock Appreciation Right, Restricted Share or Restricted Share Unit

Award. The periodic bonus award granted to a Participant under this Plan

Award. Any award made under, or pursuant to any program established under, this Plan that is paid, or the value of which is denominated, in cash.

Award. Any award or benefit granted under the Plan, including, without limitation, Stock Options, Stock Appreciation Rights, Performance Shares, Stock Awards and Stock Units. Awards subject to this amended and restated Plan shall include Awards granted prior to January 1, 2008 that were not earned and vested prior to January 1, 2005, and were not distributed prior to January 1, 2008.

Award. Any Long Term Cash Incentive Award granted under the Plan

Award. The grant of Stock Options, Restricted Stock, Stock Equivalent Units, Stock Appreciation Rights, Stock Purchase Rights, Cash Awards, and other stock and performance-based incentives under this Plan. When Plan terms may be deemed applicable to Awards granted prior to March 12, 1998, the definition of Awards shall be deemed to include Director Options for such purposes.

Award. An Option, SAR, Other Stock-Based Award, Restricted Stock, Non-Employee Director Stock Award granted or awarded, or bonus or other compensation of an eligible employee, director or consultant paid in Common Stock, pursuant to the terms and conditions of the Plan.

Award. An Annual Cash Award, or a Long-Term Cash Award

Award. The initial value of an incentive award granted to a Participant under the Plan.
