Example Definitions of "Award"
Award. A payment made under the Plan based on the Performance Goals applicable to the Award Period for which the payment is made
Award. A right to receive a cash payment, contingent on (i) the achievement of certain Performance Goals over the Award Term, and the Committee's assessment of the performance of the Company and/or the Award Recipient over the Award Term, in each case as determined by the Committee in its sole discretion (performance-vesting), and/or (ii) the passage of time (time-vesting)
Award. Individually or collectively, Restricted Stock and Restricted Stock Units, Options, Director Awards, Performance Shares, Performance Units, Stock Appreciation Rights, Dividend Equivalents, or Unrestricted Stock granted under this Plan.
Award. Shall mean, for any Participant, the actual payment in Shares at the end of a Long-Term Performance Period.
Award. A grant of Restricted Stock under this Plan or a grant of a Stock Option under the Stock Option Plan
Award. The fixed amount or percentage of Salary payable to a Participant as determined pursuant to Section 4
Award. An award or benefit granted under the Plan, including, without limitation, Dividend Equivalent Rights, Options, Phantom Stock, Restricted Stock, RSUs or SARs, or any combination of the foregoing
Award. An Option awarded under the Plan
Award. A grant of Options, Restricted Stock Units or Performance Share Units.
Award. With respect to each Participant, the award determined pursuant to Section 4(a) below for a Performance Period. Each Award is determined by a Payout Formula for a Performance Period, subject to the Committee's authority under Section 4(a) to eliminate or reduce the Award otherwise payable. For purposes of applying the Maximum Award limitation, the Award will be deemed to have been determined on the last day of the applicable Performance Period, so that if there are multiple Performance Periods... ending in a particular Fiscal Year, in no event may the Awards with respect to all such Performance Periods in the aggregate exceed the Maximum Award.
