Award

Award. Any stock‐based award or cash award permitted to be granted to an Employee.

Award. Means, with respect to a Participant, any incentive award payable to the Participant pursuant to, (1) before [March 21], 2017, the VCP and, (2) after [March 21], 2017, the LTPP, provided such incentive award is payable prior to the date of the Participant's Termination of Employment.

Award. Means, individually or collectively, any grant of an Option, SAR, Restricted Share, Restricted Share Unit, Bonus Shares, Distribution Equivalent Rights, Other Share-Based Award or Performance Award, together with any other right or interest granted to a Participant under the Plan.

Award. A Nonstatutory Stock Option or a Restricted Stock Unit Award.

Award. The award of an Option, Restricted Stock or Incentive Stock under the Plan.

Award. An incentive award which, subject to the terms and conditions prescribed by the Committee, entitles a Participant to receive a cash payment from the Company in accordance with Section 3.

Award. An award or grant made to a Participant or Director under Sections 7 through 12, inclusive, of the Plan

Award. An award of Stock Options, Stock Appreciation Rights, a Restricted Stock Award, Restricted Stock Units, a Cash Award, a Performance Award or a Stock Award granted under the Plan

Award. Any award of an RSU under this Sub-Plan.

Award. The opportunity to earn a bonus under the terms of the Plan. Awards under the Plan may be either Non-Qualified Awards or Qualified Performance-Based Awards. Unless otherwise specifically indicated by the Committee at the time of grant, all Awards granted to a covered employee within the meaning of Code Section 162(m) are intended to be Qualified Performance-Based Awards.
