Base Compensation. Shall mean $300,000. 1
Base Compensation. Means the higher of Employee's rate of annual base salary, as in effect at any time during the twelve-month period that ends on (i) the date of any Change of Control or (ii) Employee's Date of Termination. Base Compensation. For purposes of this Agreement, "Base Compensation" means annualized base salary as reflected in the Company's payroll records as of the effective date of this Agreement and as may be subsequently adjusted upward for increases.
Base Compensation. Base Compensation. Means, with respect to each Participant for each pay period, such Participant's Compensation, excluding (i) Bonus Compensation; (ii) any amounts contributed by the Corporation or a Designated Subsidiary to any pension plan, deferred compensation plan, or other similar plan; (iii) any automobile allowance (or reimbursement for such expenses); and (iv) any amounts paid as a starting bonus or finder's fee.
