Example Definitions of "Base Compensation"
Base Compensation. Shall mean the base salary which is payable on a regular basis to the Employee in effect immediately prior to a termination without 'cause', in the case of a Basic Severance Benefit payable under Section 4(a) hereof, or immediately prior to a Change in Control in the case of a Change in Control Severance Benefit payable under Section 4(b) hereof, including the last full calendar year's bonus and fringe benefits.
Base Compensation. Means an amount equal to Employee's existing annual base salary at the time of the Involuntary Termination (ignoring the effect of any material reduction that forms the basis of a right to resign for Good Reason).
Base Compensation. Means an amount equal to the Employee's existing annual base salary at the time of the Involuntary Termination, after excluding amounts paid to cover the Employee's monthly health insurance premiums.
