Base Pay. For any Plan Year, a Participant's "Compensation" for that Plan Year, as that term is defined in the 401(k) Plan, but (i) Increased by any amount excluded from that definition as a result of a Deferral made under this Plan; and (ii) Without regard to the Annual Compensation Limit.
