Example Definitions of "Base Salary"
Base Salary. Means the Participant's base salary of record for benefit purposes paid to a Participant by the Company and/or one or more Employers (whether or not deferred), but excludes (i) incentive, retention, signing or other bonus compensation, (ii) severance, and (iii) any other form of compensation or benefit.
Base Salary. The Participant's annual base salary rate of earnings in effect as of December 31, of any Incentive Year; provided that, with respect to Participants who are promoted at any time during the Incentive Year, "Base Salary" shall mean a pro-rated annual base salary for such Incentive Year (with the pro-rated calculation performed pursuant to procedures adopted by the HRO) .
Base Salary. The term "Base Salary" shall mean the salary provided for in Section 5 or any increased salary granted to Rhein in accordance with Section 5.
Base Salary. Shall mean the salary provided for in Subsection 3.1 of this Agreement.
Base Salary. Officer's commission compensation earned pursuant to Section 3 of Officer's Employment Agreement with the Company dated of even date herewith ("Officer's Employment Agreement"), for the last full Company fiscal quarter immediately preceding the date upon which an event occurs which triggers any severance obligations hereunder multiplied by four.
Base Salary. Means the greater of (a) the Executive's highest annual base salary in effect during the one (1) year period preceding a Change in Control and (b) the Executive's highest annual base salary in effect during the one (1) year period preceding the Executive's Date of Termination.
Base Salary. Shall mean the amount the Participant is entitled to receive as wages or salary on an annualized basis, excluding all bonus, overtime, shift differential, or incentive compensation, payable by the Company as consideration for the Participant's services, as determined on the date immediately preceding Termination.
Base Salary. Shall mean the Employee's base salary, at the rate in effect on the Termination Date or at the time of a Change of Control, if higher, together with any and all salary reduction authorized amounts under any of the Company's benefit plans or programs.
