Example Definitions of "Base Salary"
Base Salary. Means, with respect to Exempt Employees, such Employee's annualized salary expressed as a weekly rate, excluding bonus or commission; with respect to salaried Non-Exempt Employees, such Employee's annualized salary expressed as a weekly rate, excluding overtime pay; and with respect to hourly Non-Exempt Employees, such Employee's hourly rate of pay multiplied by the number of regularly scheduled hours per week, excluding overtime pay.
Base Salary. A Participant's "Base Salary" as such term is defined in the Employment Agreement.
Base Salary. Means the annualized rate of pay in effect on the Termination date.
Base Salary. Shall mean the higher of the Executive's annual base salary at the rate in effect on (i) the date of a Change in Control, or (ii) the date the Executive's Employment terminates.
Base Salary. Shall mean an annualized salary of not less than (a) $600,000 during the first three years of the Employment Period and (b) thereafter, one-half of the annualized Base Salary as in effect on the last day of the Initial Term, in each case as adjusted as contemplated by Section 4 below. Base Salary. Means the basic annual rate of compensation paid by the Company or any Subsidiary to a Participant as of the 30th day of September of a Plan Year, determined without regard to this Plan or any other incentive compensation, profit sharing or pension Plan, directors, fees, medical or health insurance or reimbursement Plans or other similar forms of compensation.
Base Salary. Means the Executive's annual base pay. Base Salary shall not include any bonus, commission, incentive pay, overtime, auto or travel allowance or other similar payments or compensation.
Base Salary. Executive's annual base salary as established by the Board of Directors of the Company ("Board") or the Compensation Committee from time to time. Executive's initial Base Salary is as set forth in the Offer Letter
Base Salary. Your annual base salary as in effect immediately prior to your termination of employment, or, if greater, as in effect immediately prior to the occurrence of the Change of Control.
