Base Salary

Base Salary. Means the higher of (i) Executive's annual base salary in effect immediately prior to the occurrence of the Change in Control giving rise of an obligation on the part of Employer to make any payments under this Agreement or (ii) Executive's annual base salary in effect immediately prior to the termination of Executive's employment under the circumstances described in Section 1 above.

Base Salary. Means the annual salary to be paid to Executive as set forth in Section 4(a) of this Agreement.

Base Salary. Shall mean Executive's monthly base salary at the rate in effect on the date of a reduction for purposes of paragraph (g) of this Section, or on the date of a termination of employment under circumstances described in subsections 3(a) or (b) below, whichever is higher; provided, however, that such rate shall in no event be less than the highest rate in effect for Executive at any time during the Term.

Base Salary. Means the Executive's annual base salary in effect at the time of the termination of the Executive's employment, including all amounts elected to be deferred that would otherwise have been paid, under any cash or deferred arrangement established by the Company or an Affiliate, but excluding bonuses, commissions, the cost of employee benefits paid for by the Company or an Affiliate, education or tuition reimbursements, imputed income arising under any Company or Affiliate group insurance or... benefit program, traveling expenses, business and moving expense reimbursements, income received in connection with stock options, contributions made by the Company or an Affiliate under any employee benefit plan, and similar items of compensation. Base Salary. Shall mean the annual salary provided for in Section 3 below, as adjusted from time to time by the Board.

Base Salary. Employee will be paid an initial annual base salary of $350,000 which will be paid monthly, in accordance with the Company's regular payroll practices ("Base Salary"), starting on the Commencement Date until the twelve month anniversary thereof. Additionally, on the first annual anniversary of the Commencement Date, the annual Base Salary will increase to $367,500.

Base Salary. Means, for any Participant, such Participant's base salary as in effect immediately before a Participant's termination of employment (or immediately prior to the effective date of a Change in Control, if greater) and exclusive of any bonuses, "adders," any other form of premium pay, or other forms of compensation.
