Beneficial Owner

Beneficial Owner. And have "Beneficial Ownership" of and shall be deemed to "Beneficially Own" any securities which such Person beneficially owns within the meaning of Rule 13d-3 under the Exchange Act Rules.

Beneficial Owner. The person, persons, trust or trusts that have been designated by a Participant in his or her most recent written beneficiary designation filed with the Committee to receive the benefits specified under the Plan upon such Participant's death or to which Awards or other rights are transferred if and to the extent permitted under Section 10(b) hereof.

Beneficial Owner. The meanings ascribed to them in, and shall be determined in accordance with, Rule 13d-3 of the SEC's Rules and Regulations under the Exchange Act

Beneficial Owner. Shall mean the Person who Beneficially Owns the referenced securities.

Beneficial Owner. Shall have the meaning given to such term in Rule 13d-3 under the Exchange Act (without giving effect to the limiting phrase 'within sixty days' set forth in Rule 13d-3(d)(1)(i)); provided, that Parent shall not be deemed to be the Beneficial Owner of the Covered Company Securities by virtue of this Agreement. The terms 'Beneficially Own,' 'Beneficially Owned,' and 'Beneficial Ownership' shall have a correlative meaning.

Beneficial Owner. The definition given in Rule 1d-3 promulgated under the Exchange Act
