Beneficial Owner. A beneficial owner within the meaning of Rule 13d-3 under the Securities Exchange Act of 1934, as amended

Beneficial Owner. A person or entity shall be deemed to be a "Beneficial Owner" of, or to "Beneficially Own," shares of a particular class or series of NII Voting Stock in accordance with the meaning given to such term in Rule 13d-3 promulgated under the Exchange Act as in effect on the date of this Agreement.

Beneficial Owner. An individual or entity that is treated as a beneficial owner pursuant to Rule 13d-3 under the Securities Exchange Act or any subsequent rule issued thereunder

Beneficial Owner.
