Certificate

Certificate. Shall be as defined in the Background section of ----------- this Agreement.

Certificate. Means the Certificate of Designations of Preferences, Limitations and Relative Rights of Class A Preferred Shares of IDTI (Cayman) Limited dated June 10, 2011.

Certificate. The certificate of organization of the Company and any and all amendments thereto and restatements thereof filed on behalf of the Company with the Department of State of the Commonwealth of Pennsylvania pursuant to the Act.

Certificate. Means Ortec's Certificate of Incorporation as in effect on the date hereof.

Certificate. The Certificate of Incorporation of the Company, as amended (including any certificate of designation establishing a series of preferred stock).

Certificate. A sole original executed certificated security in registered form which represents the sole limited liability company membership interest in such Ohio Mortgage Borrower, (ii) with respect to each Maryland Mortgage Borrower, the Maryland I Pledgor shall deliver to Secured Party a sole original executed certificated security in registered form which represents the sole limited liability company membership interest in such Maryland Mortgage Borrower, and (iii) with respect to each Maryland... Leasehold Entity, the Maryland II Pledgor shall deliver to Secured Party a sole original executed certificated security in registered form which represents the sole limited liability company membership interest in such Maryland Leasehold Entity. Certificate. A copy of the certificates to be delivered to Secured Party pursuant to the immediately preceding sentence

Certificate. Shall mean the Certificate of Incorporation of Company as amended and/or restated and effective immediately prior to the redemption or conversion of all of this Note.
