Certificate

Certificate. The Company's Certificate of Formation filed with the Secretary of State of Delaware, as the same may be amended or restated from time to time.

Certificate. Shall mean the Articles of Incorporation of the Company as in effect as of the Initial Closing.

Certificate. Is executed and delivered in connection with Section 7(l) of the At Market Issuance Sales Agreement (the "Agreement"), dated February 28, 2025, and entered into between Autonomix Medical, Inc., a Delaware corporation (the "Company"), and Ladenburg Thalmann & Co. Inc. (the "Agent").

Certificate. Of a Person that is not an individual shall mean a certificate signed by the president, chief executive officer, chief financial officer, manager, managing member or general partner of that Person, as applicable. .

Certificate. Shall mean this Certificate of Designation of Rights and Preferences of the Shares.

Certificate. Has the meaning set forth in the first paragraph hereof.

Certificate. Shall mean the Company's Amended and Restated Certificate of Incorporation as in effect at the closing of the Initial Public Offering.

Certificate. Means the Certificate of Formation of JAVO DISPENSER, LLC, filed with the Delaware Secretary of State under Section 18-201 of the Act.

Certificate. Means the Amended and Restated Certificate of Incorporation of the Company, as such may be amended from time to time.

Certificate. A Certificate of Formation (the "Certificate") to effect such formation pursuant to the provisions of the Delaware Limited Liability Company Act (the "Delaware LLC Act")
