Change in Control Termination. Any of the following terminations of the Executive's employment: (i) termination of the Executive's employment by the Company during the period from the date of a Change in Control through the second anniversary thereof, other than for Cause or as a result of the Executive's Disability; (ii) resignation by the Executive for Good Reason during the period from the date of a Change in Control through the second anniversary thereof; or (iii) termination of the Executive's employment by the... Company within one hundred eighty (180) days prior to a Change in Control, other than for Cause or as a result of the Executive's Disability, if it is reasonably demonstrated by the Executive that such termination of employment (A) was at the request of a third party that has taken steps reasonably calculated to effect the Change in Control or (B) was otherwise related to or in anticipation of the Change in Control. Change in Control Termination. Means termination of a Participant's employment with Energen and all Subsidiaries under either of the following circumstances: (1) an involuntary termination (other than for Cause) after the occurrence of a Change in Control; or (2) a voluntary termination for good reason entitling the Participant to severance compensation under a written change in control severance compensation agreement between Energen and the Participant.

Change in Control Termination. The termination of Employee's employment with Choice at any time during the twelve (12) month period after a Change in Control if such termination is (i) by Choice for any reason other than Cause, (ii) by Employee for Good Reason.

Change in Control Termination. Means a Participant's Involuntary Termination Without Cause which occurs during the period commencing three (3) months prior to the date on which the Change in Control closes and ending on the date which occurs eighteen (18) months following the closing of the Change in Control.

Change in Control Termination. (i) a Participant's dismissal or discharge by the Company (or the Successor Corporation) resulting in a Separation from Service, for a reason other than death, disability, or Cause, or (ii) a Participant's Resignation for Good Reason, in either case which occurs in connection with or within twelve (12) months following the effective date of a Change in Control (such period, the "Change in Control Period"), provided that any such termination is a Separation from Service.

Change in Control Termination. Change in Control Termination. Shall mean Executive's employment is terminated by the Company without Cause, or by Executive for Good Reason, upon or within twelve (12) months following the consummation of a Change in Control.

Change in Control Termination. Shall mean the occurrence of any of the following events within the period of twenty-four (24) months following the occurrence of a Change in Control: (1) a Constructive Termination, (2) a termination of the Executive's employment by the Company without Business Reasons, or (3) election by the Company not to extend the Employment Term upon the expiration of the Employment Term and Executive within ninety (90) days following the expiration of the Employment Term terminates his employment.

Change in Control Termination. Shall mean Executive's employment is terminated by the Company without Cause, or by Executive for Good Reason: (i) within eighteen (18) months following consummation Change in Control, (ii) at a time when the Company is party to an agreement, the consummation of which would result in the occurrence of a Change in Control (whether or not a Change in Control actually occurs), if such Change in Control has not been terminated or abandoned as of the Date of Termination, or (iii) or within ninety...
