Example Definitions of "Closing"
Closing. Unless the Transferee elects not to proceed with the purchase and sale of the Offered Shares, a closing with respect to such purchase and sale shall occur at such place and at such time as the Transferee and the Selling Holder shall mutually agree (the "Closing").
Closing. Means 12:00 noon, California time, on a date to be mutually agreed upon by the parties, which shall be as soon as practicable but no later than the third Business Day after the satisfaction or waiver of the last to occur of the conditions set forth in Sections 6 and 7.
